“Plenty of financial institutions look at things transactionally, but PNC doesn’t believe in that,” said Matthew Kanarick, Senior Commercial Relationship Manager at PNC. “Our goal was to understand what the owner ultimately wanted to accomplish and help identify a path to support that vision.”

That broader perspective led Whitestone and PNC to explore several ownership-transition strategies, including an Employee Stock Ownership Plan (ESOP).

Evaluating Employee Ownership

An ESOP can provide business owners with a potential path to transition ownership while giving employees a financial interest in the company’s future. However, the structure also requires careful evaluation and coordination among owners, leadership teams, and advisors.

PNC worked closely with Whitestone’s owner and other shareholders to build an understanding of the structure, its potential benefits, and its complexities. The team focused first on Whitestone’s goals, then assessed whether employee ownership offered the right path forward.

“The question wasn’t simply whether an ESOP could work,” Kanarick said. “It was whether employee ownership aligned with Whitestone’s culture, leadership goals, and long-term vision.”

In 2021, Whitestone became 100% employee-owned, providing a path for the ownership transition while maintaining leadership continuity and preserving the company’s culture.

Supporting the Next Phase

PNC’s work with Whitestone continued after the initial ESOP transaction. As the company’s financing needs evolved, PNC also provided a $20 million term loan to support its employee-ownership structure and long-term objectives.
